Lynch, who faced 15 counts of fraud over the $11.1 billion sale of autonomy to HP, expresses gratitude for the jury’s verdict

British tech tycoon Mike Lynch was exonerated on Thursday of all 15 counts of fraud linked to Hewlett-Packard’s $11.1 billion purchase of his company, Autonomy, in 2011. The verdict marks the end of a protracted legal battle that began with Lynch’s indictment in 2018, accusing him of inflating sales figures and misleading regulators.

The trial, held in San Francisco, commenced in March following Lynch’s contentious extradition from the UK. Initially facing 16 counts, including wire fraud, securities fraud, and conspiracy, Lynch saw the securities fraud charge dropped during the proceedings.

“I am elated with today’s verdict and grateful to the jury for their attention to the facts over the last 10 weeks,” Lynch announced after the verdict. “My deepest thanks go to my legal team for their tireless work on my behalf. I am looking forward to returning to the UK and getting back to what I love most: my family and innovating in my field.”

The allegations stemmed from HP’s accusation that Autonomy had engaged in major accounting improprieties, leading to a substantial write-down of the company’s value post-acquisition. Throughout the trial, Lynch maintained his innocence, contending that Autonomy was legitimate despite not being “perfect.”

Testifying as the trial’s final witness, Lynch claimed limited involvement in day-to-day operations and accounting practices, pointing instead to other executives and employees for any discrepancies. Prosecutors, however, depicted him as the mastermind behind a prolonged fraud scheme, calling over 30 witnesses to support their case.

Central to the prosecution’s argument was the claim that Autonomy disguised hardware sales as software sales to inflate revenues. Lynch was accused of incentivizing customers to purchase software to falsely boost sales figures.

After ten weeks of testimony and deliberation, Lynch’s attorneys, Christopher Morvillo and Brian Heberlig, lauded the jury’s decision, stating, “The evidence presented at trial demonstrated conclusively that Mike Lynch is innocent. This verdict closes the book on a relentless 13-year effort to pin HP’s well-documented ineptitude on Dr. Lynch. Thankfully, the truth has finally prevailed.”

Lynch, once celebrated as a pioneer in British technology, was awarded an Order of the British Empire in 2006 and later elected as a fellow to both the Royal Academy of Engineering and the Royal Society.
